Terms of Service

1. Parties & Acceptance

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you") and:

By accessing or using the EverTold mobile application ("App"), the website at evertold.ai ("Website"), or any related services (collectively, the "Services"), you agree to be bound by these Terms. If you do not agree, you must not use the Services.

2. Description of Services

EverTold is a voice-first AI companion application designed for older adults. The Services include daily conversational check-ins, medication and appointment reminders, life story preservation, and family coordination features.

Important: The Services are provided by an artificial intelligence system and do not constitute medical advice, healthcare, emergency services, or professional caregiving. Medication reminders are convenience features only and are not a substitute for professional medical supervision. In case of a medical emergency, contact your local emergency number immediately.

3. Pilot Programme

Access to the Services is currently provided through a pilot programme. By participating, you acknowledge and agree to the following:

  • Pilot access. Pilot access may be granted, modified, suspended, or discontinued by Fireminer AG. We will provide at least 14 days' notice before discontinuing the pilot programme, except where immediate action is required for security or legal reasons.
  • Data consent. You acknowledge and consent, to grant Fireminer AG a worldwide, royalty-free, perpetual, irrevocable, sub-licensable licence to use, reproduce, modify, adapt, publish, and process all data generated through your use of the Services, including voice recordings, conversation transcripts, usage data, and any content you submit, for product development, AI model training, improvement, testing, research, and analytics purposes. Data used for development purposes will be de-identified using industry-standard techniques. Where true anonymisation is achieved, the resulting data is no longer personal data and may be retained without restriction. Where full anonymisation cannot be guaranteed, your data will be deleted within 30 days of your withdrawal of consent or within 2 years after the conclusion of the pilot programme, whichever is earlier.
  • No Guaranteed Availability. The Services are provided on an "as available" basis during the pilot. Features may change, be removed, or become temporarily unavailable without notice.
  • Feedback. Any feedback, suggestions, or ideas you provide regarding the Services become the property of Fireminer AG and may be used without restriction or compensation.

4. User Accounts

  • You must provide accurate and complete registration information.
  • You are responsible for maintaining the confidentiality of your account credentials.
  • You are responsible for all activity under your account.
  • You must be at least 18 years old, or the age of majority in your jurisdiction, to create an account.
  • If you register the Services on behalf of another person (e.g. a parent or grandparent), you represent that you have the legal authority to consent on their behalf.

5. Acceptable Use

You agree not to:

  • Use the Services for any unlawful purpose
  • Attempt to reverse-engineer, decompile, or disassemble the App or any part of the Services
  • Circumvent, disable, or interfere with security features of the Services
  • Use the Services to transmit harmful, threatening, abusive, or harassing content
  • Use automated means (bots, scrapers) to access the Services without prior written consent
  • Sell, resell, lease, or sublicense access to the Services
  • Interfere with or disrupt the integrity or performance of the Services
  • Attempt to gain unauthorised access to any systems or networks connected to the Services

6. Intellectual Property

All rights, title, and interest in and to the Services, including the App, Website, software, algorithms, AI models, designs, text, graphics, logos, and all other content, are and remain the exclusive property of Fireminer AG or its licensors. No rights are granted to you except as explicitly stated in these Terms.

The EverTold name, logo, and all related marks are trademarks of Fireminer AG. You may not use these marks without prior written consent.

7. User Content & Data

You retain ownership of the personal content you provide through the Services, including stories, photographs, voice recordings, and personal information.

By using the Services, you grant Fireminer AG a limited, non-exclusive, worldwide licence to use, reproduce, process, and store your content solely for the following purposes:

  • Providing, operating, and maintaining the Services and your account.
  • Product development, AI model training, and improvement (as described in Section 3.2 and the Privacy Policy).

You represent that you have all necessary rights and consents to submit any content you provide through the Services, including consent from any third parties whose personal information may be included.

8. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.

Fireminer AG specifically disclaims all implied warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy. Without limiting the foregoing:

  • No medical advice. The Services do not provide medical diagnoses, treatment recommendations, or professional health advice. Medication reminders are convenience features only and do not replace professional medical supervision. Always consult a qualified healthcare provider.
  • No emergency service. The Services are not a substitute for emergency services. In case of emergency, contact your local emergency number immediately.
  • AI limitations. The AI companion may produce inaccurate, incomplete, or inappropriate responses. Do not rely on it for critical decisions.
  • No guaranteed availability. We do not guarantee uninterrupted, timely, secure, or error-free operation.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY SWISS LAW, FIREMINER AG, ITS DIRECTORS, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, NOR FOR ANY LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICES.

THE TOTAL AGGREGATE LIABILITY OF FIREMINER AG FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID TO FIREMINER AG IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR CHF 100, WHICHEVER IS GREATER.

These limitations do not apply to liability for gross negligence or intentional misconduct by Fireminer AG (Art. 100 CO), or to liability for personal injury caused by Fireminer AG's negligence. Mandatory liability under Swiss law remains unaffected.

10. Indemnification

You agree to indemnify, defend, and hold harmless Fireminer AG, its directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from or related to:

  • Your use of the Services
  • Your violation of these Terms
  • Your violation of any applicable law or regulation
  • Content you submit through the Services
  • Your infringement of any third-party rights

11. Termination

Fireminer AG may terminate or suspend your access to the Services at any time, with or without cause, and with or without notice. Upon termination:

  • Your right to use the Services ceases immediately
  • Sections 3 (data licence), 6, 7, 8, 9, 10, 13, and 14 survive termination
  • Fireminer AG retains the right to use data collected during your use as described in Section 3 and the Privacy Policy

You may terminate your account at any time by contacting us at support@evertold.ai. Termination does not affect data already processed or licences already granted under these Terms.

12. Modifications

Fireminer AG may modify these Terms from time to time. Material changes will be communicated via the App or by email at least 30 days before they take effect. During this notice period, you may terminate your account and export your data if you do not agree with the modifications. Your continued use of the Services after the effective date constitutes acceptance of the modified Terms.

13. Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with the substantive laws of Switzerland, excluding its conflict-of-law provisions and the United Nations Convention on Contracts for the International Sale of Goods (CISG).

Any dispute arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts of Zug, Switzerland.

14. Severability

If any provision of these Terms is found invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be replaced by a valid provision that most closely approximates the intent of the original.

15. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Fireminer AG regarding the Services and supersede all prior agreements, understandings, and representations.
